Legal Tech AI™

Terms of Service

Last updated: October 23, 2026 (version 2026-10-23).

These Terms govern your use of Legal Tech AI™ (the "Service"), operated by Olivia M. Villa, doing business as Legal Tech AI, a California business ("Legal Tech AI", "we", "us"). By creating an account or using the Service you agree to these Terms, our Privacy Policy, AI Disclosure, Acceptable Use Rules and, if you subscribe, our Subscription Agreement.

1. We are not a law firm: no legal advice, no attorney-client relationship, no privilege

1.1 Not a law firm. Legal Tech AI is a technology company. We are not a law firm and do not practice law, and no one who works for or with Legal Tech AI acts as your attorney through the Service.

1.2 No legal advice. The Service, including Mi AI™, provides general legal information and software tools only. Nothing in or produced by the Service is legal advice, a legal opinion, or a recommendation about what you should do in your situation, and it is not a substitute for a licensed attorney.

1.3 No attorney-client relationship. Using the Service, communicating with us, or receiving output from the Service does not create an attorney-client relationship between you and Legal Tech AI, or between you and any attorney.

1.4 No privilege. Your communications with the Service, including your prompts, uploaded documents and the AI output, are not communications with a lawyer. They are not protected by attorney-client privilege, the work-product doctrine, or any similar protection, and they may be disclosed to third parties, including the service providers described in the Privacy Policy and, where the law requires, courts or government agencies. Do not submit anything you need to keep privileged or confidential.

1.5 Verify everything; no reliance. The Service can be incomplete, out of date or wrong. You are solely responsible for deciding how to use its output, for verifying every authority and fact at its source, and for checking deadlines and filing requirements. We do not guarantee any result or outcome. If your matter is urgent or involves a deadline, a court date or important legal rights, consult a licensed attorney immediately.

1.6 No practice of law. Under California Business and Professions Code section 6125, only active licensees of the State Bar of California may practice law in California. Legal Tech AI is not a licensee and does not practice law, and the Service is not offered or intended as the practice of law.

2. Your account

You must be at least 18 years old and able to form a binding contract. Give accurate information, keep your password secret, and tell us promptly about unauthorized use. You are responsible for activity under your account. We may require email verification.

3. The Service and its limits

Features available to you depend on your plan. We may change, add or remove features. The Service uses artificial intelligence and legal materials that may be incomplete, out of date or wrong. Case and statute coverage is limited and is described in the Service. A citation shown as found means it exists in our database; it does not mean the authority is still good law or supports any statement.

4. Your content

You keep ownership of what you submit, including uploaded documents and prompts. You give us a limited license to process your content to provide the Service to you, including sending it to our service providers described in the Privacy Policy. Do not upload content you have no right to use. If you are a legal professional, you are responsible for your own duties of confidentiality and competence when using the Service. Do not submit information that is privileged, sealed, or subject to a confidentiality obligation unless you have the right to do so and accept the risks described in section 1.

5. Our property

We own the Service, including our software, design, and the original work we create. Public legal materials, such as court opinions and statutes, remain public and are not owned by us; we own only our own compilation, organization and original contributions. You may not copy, scrape, resell or reverse engineer the Service except as the law allows.

6. Acceptable use, no harm, and your responsibility

6.1 Rules. You must follow the Acceptable Use Rules.

6.2 No harm. You may not use the Service, or anything it produces, to harm, threaten, harass, stalk, intimidate, defame, defraud, deceive or discriminate against any person or organization, or to violate anyone's rights; to plan or carry out a crime; to create or submit false, forged or misleading documents, evidence, statements or citations to any court, agency or person; to file or threaten claims you know are baseless or that are meant to harass; to exploit or endanger minors; or to unlawfully surveil, expose or target any individual.

6.3 No unauthorized practice of law. You may not use the Service to practice law or to provide legal services or advice to others unless you are licensed to do so, and you may not present output from the Service as legal advice.

6.4 Enforcement. We may investigate suspected violations, remove content, and suspend or end your access at any time, with no refund where the law permits. We may report conduct we reasonably believe is unlawful to the authorities and cooperate with legal process.

6.5 Your responsibility and indemnity. You are responsible for your content and for how you use the Service and its output. To the fullest extent the law allows, you agree to defend, indemnify and hold harmless Legal Tech AI, its owner, successors, contractors and service providers from any claim, loss, damage, liability, cost or reasonable attorney's fees arising out of your content, your violation of these Terms or the Acceptable Use Rules, your violation of any law or another person's rights, or your use of the Service's output.

7. Payments

Paid plans are governed by the Subscription Agreement, including automatic renewal, cancellation and refund terms. You will not be charged until you affirmatively agree to those terms.

8. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, including accuracy, completeness, fitness for a particular purpose and non-infringement. We do not guarantee that AI output or legal information is correct.

9. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim, or $100 if you paid nothing. Some places do not allow these limits, so they may not apply to you.

10. Ending your account

You may stop using the Service and delete your account at any time. We may suspend or end your access as described above. Sections that by their nature should survive will survive.

11. Resolving disputes: informal resolution, binding arbitration, no class actions

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, TO HAVE A JURY DECIDE A DISPUTE, AND TO PARTICIPATE IN A CLASS ACTION. You may opt out of arbitration within 30 days as described in section 11.12.

11.1 Notice of Dispute and informal resolution. Before either party starts an arbitration or a court case, that party must send the other a written notice of the Dispute (a "Notice of Dispute") describing the nature of the claim, the facts on which it is based, and the specific relief sought. You must send your Notice of Dispute by email to legalai@legaltechinfo.org from the email address on your account, with your name. We will send ours to the email address on your account. The parties will then negotiate in good faith for at least 30 days after the Notice of Dispute is received (the "Informal Resolution Period") before any proceeding may begin. Any applicable statute of limitations is tolled during the Informal Resolution Period.

11.2 Agreement to arbitrate; scope. Except as provided in section 11.11, you and Legal Tech AI each agree that any dispute, claim or controversy of any kind arising out of or relating to these Terms, the Subscription Agreement, the Privacy Policy, the Acceptable Use Rules, your account, your subscription or any payment, or the Service, including its marketing and advertising (each a "Dispute"), will be resolved exclusively by final and binding arbitration on an individual basis, and not in a court or before a jury. This agreement to arbitrate applies whatever the legal theory (including contract, tort, fraud, misrepresentation, negligence, statute, or consumer protection law), whether the Dispute arose before or after you accepted these Terms, and after your account or subscription ends. It is mutual: it binds you and us equally.

11.3 Who is covered. In this section 11, "we", "us" and "Legal Tech AI" mean Olivia M. Villa, individually and doing business as Legal Tech AI, and her successors and assigns, including any limited liability company or other entity that later operates the Service, together with our contractors and service providers (including payment, hosting and email providers) to the extent a Dispute is brought against them in connection with the Service. "You" means the person who created the account or uses the Service, and anyone who claims through that person.

11.4 The arbitrator decides arbitrability. Except as stated in the next sentence, the arbitrator, and not a court, has exclusive authority to decide all questions about whether this section 11 applies to a Dispute, and about its existence, scope, interpretation, validity and enforceability, including any claim that all or part of it is void or voidable. A court, and not the arbitrator, decides whether the class action waiver in section 11.8 or the carve-out in section 11.9 is enforceable.

11.5 Federal Arbitration Act. These Terms and the Service involve interstate commerce. The Federal Arbitration Act, 9 U.S.C. section 1 and following (the "FAA"), governs the interpretation and enforcement of this section 11. To the extent the FAA does not apply, the California Arbitration Act applies.

11.6 Rules, forum and procedure. Arbitration will be administered by the American Arbitration Association ("AAA") before a single neutral arbitrator under the AAA Consumer Arbitration Rules in effect when the arbitration is filed, which are available at adr.org. If the AAA is unable or unwilling to administer the arbitration, the parties will agree on another recognized provider that follows consumer due-process standards, or a court will appoint one. The arbitration may be conducted by video conference, by telephone, or on written submissions, or in person in the county where you live or in Riverside County, California, as the rules provide. The arbitrator must apply the substantive law that would apply in court, including statutes of limitation and privileges, may award any individual remedy (including damages and injunctive or declaratory relief) that a court could award on the claims of the individual parties, and must issue a written decision with reasons if either party asks. Judgment on the award may be entered in any court that has jurisdiction.

11.7 Fees and costs. You will pay no more than the lesser of the AAA consumer filing fee and the fee a court in your county would charge to start a similar case. We pay all other AAA filing, administrative and arbitrator fees and expenses, and we will pay them within the time the AAA rules and applicable law require, including California Code of Civil Procedure sections 1281.97 and 1281.98. Each party pays its own attorney's fees and costs, except that the arbitrator may award them to a party who prevails on a claim if a statute or the AAA rules allow. We will not seek attorney's fees from you unless the arbitrator finds that your claim was frivolous or brought for an improper purpose. We will pay the fees we owe within the time the law requires, including under California Code of Civil Procedure sections 1281.97 and 1281.98.

11.8 Class action, consolidation and representative-action waiver. To the fullest extent the law allows, you and we each waive the right to bring, join, or participate in any class action, collective action, consolidated action, or representative action as a plaintiff or class member, and each Dispute must be brought and decided only on an individual basis. The arbitrator has no authority to hear a Dispute as a class, collective or representative proceeding, to consolidate or join the claims of more than one person, or to award relief to anyone who is not a party to the arbitration. If a court decides that this waiver cannot be enforced as to a particular claim or request for relief, then that claim or request (and only that part) must be brought in court, and it will be stayed until the arbitration of all remaining claims is finished.

11.9 Public injunctive relief (California). If, under applicable law, a claim for public injunctive relief (relief that primarily benefits the general public rather than you individually) cannot be waived in any forum, that claim and only that claim is not subject to arbitration. It must be brought in court as provided in section 11.14, and it will be stayed until the arbitration of all other claims is finished. Nothing in this section 11 waives your right to seek public injunctive relief where the law protects it.

11.10 Coordinated filings. If 25 or more demands for arbitration raising similar claims are filed against us by the same lawyer or firm or by lawyers or firms working together, the parties agree to follow any supplementary procedures the AAA has adopted for mass or coordinated arbitrations, and the arbitration fees and filing requirements will be applied as those procedures provide.

11.11 What is not covered. Section 11.2 does not require arbitration of (a) an individual claim brought in small claims court in Riverside County, California, or in the county where you live, if the claim qualifies for that court and stays there; (b) a claim by either party for an order to stop the infringement or misuse of its intellectual property or unauthorized access to or interference with the Service; or (c) any claim that applicable law does not allow to be required into arbitration. Starting a court case on a claim described in this section is not a waiver of the right to arbitrate any other Dispute. Nothing in this section 11 prevents you from filing a complaint with a government agency.

11.12 Your right to opt out within 30 days. You may opt out of this section 11 (the agreement to arbitrate and the class action waiver, but not the rest of these Terms) by emailing legalai@legaltechinfo.org from the email address on your account within 30 days after you first accept these Terms. Your email must include your full name, the email address on your account, and a clear statement that you opt out of arbitration. An opt-out applies only to the person who sends it, and cannot be sent for anyone else. If you opt out in time, neither you nor we are bound by sections 11.2 and 11.8 for your Disputes, and the rest of these Terms continues to apply.

11.13 Changes to this section. If we make a material change to this section 11, we will notify you by email or in the Service. The change applies only to Disputes that arise after the notice, and you may reject the change by emailing legalai@legaltechinfo.org within 30 days after the notice, in which case the prior version of this section governs your Disputes. A change never applies to a Dispute that is already pending.

11.14 Governing law and courts. These Terms, and all Disputes, are governed by the laws of the State of California, without regard to conflict-of-laws rules, except that the FAA governs section 11 as stated in section 11.5. For any Dispute that is not arbitrated, to the fullest extent applicable law allows, you and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Riverside County, California, and each waives any objection to those courts based on inconvenience.

11.15 Survival and severability. This section 11 survives the end of these Terms, your account and your subscription. If any part of this section 11 is found to be unenforceable, that part is severed and the rest of the section remains in effect, except as stated in sections 11.8 and 11.9.

12. Changes, contact

We may update these Terms and will notify you of material changes. Governing law and venue are set out in section 11.14. Contact: legalai@legaltechinfo.org, phone (323) 505-2607.
